207. Publication of reports of meetings

 

 

1) No report purporting to be a report of the proceedings at any meeting of a company shall be circulated or advertised at the expense of the company unless it contains a fair summary of all material questions and comments, relevant to any matter before the meeting, which have been asked or made by members taking part in the proceedings: Provided that there shall not be required in any such report the inclusion of any matter which can reasonably be regarded as defamatory of any person or as detrimental to the interests of the company.

 

2) Any director or officer of a company who authorises or knowingly permits or is a party to the circulation or advertising of a report contrary to the provisions of subsection (1), shall be guilty of an offence, and if in any prosecution under this subsection the defence is raised that matter omitted from a report was immaterial or could reasonably be regarded as defamatory of some person or as detrimental to the interests of the company, the burden of proving this shall be on the person raising the defence.
