FSCA Invites Comment on JSE Rule Amendments for CSD Naming Conventions

Brought to you by SA Legal Academy: The Financial Sector Conduct Authority (FSCA) has invited public comment on draft amendments to the Johannesburg Stock Exchange (JSE) rules. These amendments focus on the central securities depository (CSD) naming convention as part of the broader JSE Simplification Project.

In terms of the Financial Markets Act, No. 19 of 2012, the FSCA published four Government Gazette notices regarding proposed changes to the JSE’s regulatory framework. The amendments are intended to align the JSE’s rules with a new naming convention for CSDs. This initiative follows a public consultation process on the JSE Simplification Project conducted between September 2023 and October 2024.

The simplification project aims to overhaul the JSE listings requirements by employing plain language to record concise regulatory objectives. This transition is expected to improve the application of requirements for the following stakeholders:

  • Listed companies;
  • Sponsors; and
  • Investors.

The FSCA has set a deadline of 5 September 2025 for the submission of written comments on the draft amendments. The proposed changes were further detailed in a JSE market notice following a decision by the JSE rules committee to streamline the existing regulatory language and naming conventions.
