Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has published a new step-by-step guide to facilitate the automated reinstatement of companies and close corporations.

In terms of the Companies Act, No. 71 of 2008, the Companies and Intellectual Property Commission (CIPC) has transitioned the reinstatement process to a fully automated system. The automation of Form CoR40.5 (Application for Re-instatement of Registration of a Company or Close Corporation) became effective on 11 August 2025.

The 21-page guide is designed to assist practitioners and business owners in navigating the new online application method. It provides a detailed breakdown of the 11 steps required to complete the process, accompanied by screenshots and a summary of the conditions that must be met before an application can be processed.

Key features of the new automated process include:

  • Mandatory use of the online portal for Form CoR40.5 submissions.
  • A structured 11-step workflow for data entry and document uploads.
  • Specific conditions for reinstatement that must be verified prior to application.
  • Integration with existing CIPC customer profiles and billing systems.

What this means for you, your business, or your clients

  • For yourself: You must familiarise yourself with the 11-step automated workflow on the CIPC portal, as manual or legacy submission methods for Form CoR40.5 are no longer the standard procedure.
  • For your business: Ensure that your firm’s secretarial or compliance department updates its internal SOPs to align with the 11 August 2025 automation requirements to avoid delays in restoring deregistered entities.
  • For your clients: Advise clients with deregistered entities that the reinstatement process now requires specific digital compliance steps and that all outstanding annual returns must typically be addressed as part of the broader restoration criteria.
