CIPC Practice Note: Review of Director Amendments and Contact Detail Updates

Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has announced a review of its internal processes regarding the update of director contact details and the filing of director amendments.

In terms of the Companies Act, No. 71 of 2008, the Commission has issued a practice note to address the rising risk of unauthorised changes to company records. This review has been conducted in conjunction with other relevant statutory bodies to strengthen the integrity of the corporate register.

The updated procedures involve enhanced verification protocols that will be applied to all director-related filings. These changes include:

  • Mandatory verification of South African citizens against the Department of Home Affairs’ National Population Register.
  • Verification of non-citizens through the CIPC’s in-house Foreigner Verification system.
  • A revised internal review process for the update of contact details to ensure that only authorised representatives can effect changes.

These measures are intended to function as a safeguard while the Commission continues to refine its automated verification systems. Professionals responsible for company secretarial duties should ensure that all director information submitted aligns exactly with official identification documentation to avoid rejection of filings.
