CIPC: Prospectus Filing Requirements and Guidelines

In terms of the Companies Act, No. 71 of 2008, the Companies and Intellectual Property Commission (CIPC) has issued Guideline 1 of 2026. This regulatory document outlines the specific documentation and reporting requirements necessary during the process of registering a prospectus, with the objective of improving the safety and transparency of the business investment environment.
The guideline specifically addresses the submission of original letters of consent. In this regard, the CIPC confirms that the following legislative provisions apply to signatures and electronic submissions:
- Section 6(13) of the Companies Act, No. 71 of 2008, which permits the use of electronic signatures for documents required by the Act; and
- Section 28 of the Electronic Communications and Transactions Act, No. 25 of 2002, which provides for the legal recognition of information in the form of data messages and the requirements for electronic signatures in a regulatory context.
Practitioners must ensure that all alternative methods for attaching signatures to documents submitted to the CIPC comply with these statutory frameworks to ensure the validity of the prospectus filing.
