Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has released a notice explaining the technical reasons for discrepancies between the year reflected in a company registration number and the actual date of incorporation.

In terms of the Companies Act, No. 71 of 2008, the Companies and Intellectual Property Commission (CIPC) has issued Notice 1 of 2026 to clarify the administrative process regarding the assignment of registration numbers and incorporation dates. This notice is issued annually to address recurring queries regarding the alignment of these two data points during the transition between calendar years.

The CIPC’s automated systems assign a registration number based on the calendar year in which an application is first received. However, the official date of incorporation is determined by the date on which the registration process is finalised. This frequently results in a disparity for applications submitted late in one year (e.g., 2025) but processed early in the following year (e.g., 2026).

Key administrative points regarding this disparity include:

  • The registration number year reflects the date the application was captured on the system.
  • The incorporation date (or registration date) reflects the actual date the company was officially registered.
  • This occurrence is a standard result of system automation and does not affect the legal standing of the entity.

What this means for you, your business, or your clients

  • For yourself: Ensure that internal records and professional filings correctly distinguish between the registration number (for identification) and the incorporation date (for legal commencement).
  • For your business: Update compliance checklists to verify that company secretarial documents reflect both the correct registration number and the official incorporation date to avoid administrative errors during audits or SARS registrations.
  • For your clients: Advise clients that a registration number starting with a previous year’s date is legally valid even if the incorporation date falls in the current year, preventing confusion during bank account openings or FICA verification processes.
