Postbank Commercial Banking Licence Update

Brought to you by SA Legal Academy: Postbank has registered with the Financial Sector Conduct Authority (FSCA) and is currently reviewing its long-standing application for a full commercial banking licence.

In terms of the Banks Act, No. 94 of 1990, the South African Postbank SOC Ltd is updating its June 2017 application for a commercial banking licence. According to written replies from the Minister of Communications & Digital Technologies in June and September 2025, the entity has fulfilled most South African Reserve Bank (SARB) requirements but requires further capitalisation to meet regulatory thresholds.

To satisfy the SARB’s capital adequacy ratio requirements and fund infrastructure investment, the Postbank requires capitalisation of approximately R2.3bn. This is a prerequisite for the acquisition of a full commercial banking licence.

National Payment System Compliance

In August 2025, the SARB issued a fourth variation notice regarding the Postbank’s designation as a clearing system participant under the National Payment System Act, No. 78 of 1998. This notice includes the following directives:

  • A 15-month extension to complete the replacement of South African Social Security Agency (SASSA) beneficiary gold cards with Postbank black cards.
  • Continued alignment with SARB clearing and settlement standards.
  • Ongoing review of the entity’s technical and governance infrastructure.
