Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has issued Notice 25 of 2026, reiterating the statutory requirements for maintaining accurate director information and the timelines for reporting changes.

In terms of section 24(5) of the Companies Act, No. 71 of 2008, companies are mandated to maintain accurate, up-to-date, and adequate records of their directors. This requirement is intended to prevent fraud and the falsification of corporate records within the national register.

The Commission has directed that all companies must submit notifications of any changes to director information within 10 business days from the date the change occurred. These updates include, but are not limited to:

  • Changes to directors’ personal contact details;
  • New director appointments;
  • Resignations or removals of directors; and
  • Amendments to existing director profiles.

All such amendments must be processed through the CIPC eServices platform. Specifically, changes to physical or electronic contact information should be effected via the “Change of Contact Details” tab, while other structural changes must be lodged through the “Director Amendments” platform.

What this means for you, your business, or your clients

  • For yourself: No direct individual obligations; impact is channelled through professional responsibility to ensure that any directorships held are supported by accurate, current data on the CIPC register.
  • For your business: Update internal compliance calendars to ensure that any change in the firm’s own board composition or director contact details is lodged via eServices within the 10-business-day statutory window.
  • For your clients: Conduct a gap analysis between client minute books and the CIPC register to identify outdated director information, and implement a standard operating procedure for clients to report changes to the practice immediately to avoid non-compliance.
