CIPC Implements Geolocation for CoR21.1 and CK2 Address Changes
Brought to you by SA Accounting Academy: In terms of section 23 of the Companies Act, No. 71 of 2008 and section 25 of the Close Corporations Act, No. 69 of 1984, the Companies and Intellectual Property Commission (CIPC) has updated its electronic filing platform to incorporate geolocation functionality into the Form CoR21.1 and Form CK2 registered office change processes.
The system enhancement captures standardised physical address data pinned directly to the geographic location of a company or close corporation. When an applicant enters the initial address line, the platform automatically generates, populates, and pins the spatial real-world coordinates on the registry record.
Key operational rules under the upgraded system include:
- Locked address fields: Information prepopulated by the geolocation tool is blocked from manual edits or textual overwriting, ensuring the registered record aligns with geographic spatial data rather than conflicting physical documents.
- Boundary variations: CIPC has noted that municipal, provincial, and postal demarcations evolve over time; where minor labelling disparities exist between street codes and geographic mapping, the physical location pin remains determinative.
- Operational physical office: CIPC reiterates the standard established in Sibakhulu Construction (Pty) Ltd v Wedgewood Village Golf Country Estate (Pty) Ltd [2013] (1) SA 191 (WCC), which held that an entity’s registered physical office must be the site where its principal administrative activities take place.

What this means for you, your business, or your clients
- For yourself: When submitting statutory filings on CIPC e-services, you can no longer override prepopulated registered address fields manually and must verify the exact physical pin location before final submission.
- For your business: Review your firm’s own registered office details on the CIPC register to verify that the physical address accurately captures the location where primary administration occurs.
- For your clients: Ensure client entities operating with postal-only references, shell addresses, or outdated street numbers update their Form CoR21.1 or CK2 filings to pin verifiable physical administrative offices in compliance with the Sibakhulu doctrine.
